1. Acceptance of Terms

These Terms govern access to and use of panniniedu.com and any associated educational analytics, curriculum, teacher development or informational services ("Services"). By browsing, submitting an enquiry, subscribing, or accessing restricted educator / institutional features, you agree to these Terms and our Privacy Policy. If you act on behalf of an organization, you confirm authority to bind it.

Public pages are open access. Restricted modules require valid authorization. Parents submitting child data must be lawful guardians.

4. Changes to Terms

We may update Terms. Continued use after effective updates constitutes acceptance. Material changes may be highlighted.

5. Services Description

We provide informational content, enquiry handling, newsletters, potential analytics / curriculum management tools, teacher enablement resources, research collaboration channels. Features may change or be withdrawn without liability.

6. Account Registration

For platform access you must supply accurate info, safeguard credentials, and notify us of unauthorized use. We may suspend or revoke accounts for misuse.

7. Permitted Use

Use Services lawfully, respect IP, avoid disruptive or deceptive activity, follow role permissions.

9. Intellectual Property

All content, frameworks, analytics models, curriculum maps, assessment architectures, trademarks and code are owned or licensed by Pannini. Limited, revocable, non-transferable right to view and use. No implied rights. Feedback may be used royalty-free.

10. Confidentiality

Institutional materials (methodology docs, analytics exports, dashboards) are proprietary and must not be redistributed beyond authorized personnel.

11. Data & Privacy

Governed by our Privacy Policy. Institutional data handling may be subject to separate written agreements (e.g., DPAs, Service Agreements).

12. Third-Party Services

We rely on third-party infrastructure (hosting, email, analytics). Their terms apply. We are not liable for their outages.

13. Newsletter & Communications

Optional subscription; you may unsubscribe any time. Critical service / legal notices may still be sent.

14. Beta / Pilot Features

Beta tools are experimental, may be unstable, withdrawn, or changed without notice and offered “as is”.

15. Fees & Payments (Future)

Any future paid modules will include published pricing, billing cycles, taxes and refund / cancellation terms. Until introduced, Services are either informational or governed by separate institutional contracts.

16. Availability & Maintenance

We strive for reasonable uptime with possible planned maintenance or unplanned outages. No SLA unless contractually specified.

17. Disclaimer

Services provided “as is” without warranties (express or implied). Educational outcomes depend on many external factors.

18. Limitation of Liability

To the extent permitted by law: no indirect or consequential damages; aggregate liability capped at INR 10,000 or fees paid in prior 3 months (if any), whichever is lower.

19. Indemnity

You indemnify Pannini and affiliates against claims arising from misuse, breach of Terms, infringement, or unlawful submissions.

20. Termination

We may suspend or terminate access for violations, security risk, IP infringement, or legal concerns. Obligations regarding IP, confidentiality, limitations and disputes survive termination.

21. User Submissions & Feedback

Non-confidential suggestions may be incorporated without compensation. Don’t submit proprietary or third-party confidential info without rights.

22. Force Majeure

No liability for delay/failure due to events beyond reasonable control.

23. Governing Law & Jurisdiction

Indian law governs. Courts in Bengaluru, Karnataka have exclusive jurisdiction (except for seeking injunctive IP relief elsewhere).

24. Dispute Resolution

Parties will attempt good-faith negotiation (30 days) before escalation.

25. Severability

If any provision is invalid, remaining provisions remain effective.

26. No Waiver

Failure to enforce a provision is not a waiver of future enforcement.

27. Assignment

You may not assign rights without consent. We may assign in corporate transactions.

28. Notices

29. Entire Agreement

These Terms plus referenced policies form the entire agreement absent a separate executed institutional contract.
